These Terms and Conditions (“Terms”) govern your use of the website, communications, events, and services provided by Lucid Audio Video (“Lucid,” “we,” “our,” or “us”). By using our website or services, you agree to these Terms.

1. Scope and Precedence

These Terms apply to our website, communications, and public events. If you purchase services or equipment, any signed master services agreement, proposal, or statement of work (“SOW”) will govern. If there is a conflict, the signed agreement takes precedence over these Terms.

2. Eligibility

You must be at least 18 years old and capable of entering a binding contract to use our services and register for events.

3. Acceptable Use

You agree not to violate laws, attempt unauthorized access, interfere with systems, upload malicious code, or use our channels to harass, spam, or infringe others’ rights.

4. Intellectual Property

All site content, logos, graphics, designs, text, and materials are owned by or licensed to Lucid. You may not copy, reproduce, or distribute any content without our written permission. We grant you a limited, revocable license to use our site and services for their intended purpose.

5. User Content and Feedback

If you provide reviews, testimonials, or suggestions, you grant Lucid a worldwide, royalty-free license to use and display them for marketing and operational purposes without obligation to you.

6. Quotes and Availability

Budgets, proposals, timelines, and product availability are good-faith estimates only and may change due to site conditions, vendor supply, or shipping issues. Orders are subject to vendor acceptance, and substitutions of equal or better quality may be offered.

7. Events

Registration may be limited and offered on a first-come, first-served basis. We may refuse or revoke registration for safety or conduct reasons. By attending, you agree to follow our code of conduct and assume all risks associated with participation and travel. We may reschedule, modify, or cancel events for any reason. If a fee was charged, our obligation is limited to a refund or transfer to a future date, at our discretion.

8. SMS and Communications

By providing your number and opting in, you consent to receive SMS messages from Lucid for general communications and event updates. You may receive up to two to four messages per month, and additional messages may be sent in response to your inquiries. Message and data rates may apply. Reply STOP to cancel or HELP for assistance. Consent is not required as a condition of purchase. Delivery of messages is not guaranteed, and we are not responsible for carrier delays or failures. Do not send sensitive information by SMS.

9. Third-Party Services

Our site and services may include integrations with HubSpot, Zapier, Webflow, OpenPhone, QuickBooks, Google, and Meta. We are not responsible for the practices of these third parties. Their policies apply once you leave our website.

10. Disclaimers

Our website, services, and events are provided “as is” and “as available.” We make no warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, or uninterrupted availability.

11. Limitation of Liability

Lucid is not liable for indirect, incidental, special, or consequential damages, including lost profits, revenue, or data. Our total liability for any claim will not exceed one hundred dollars (USD $100) or the amount you paid to Lucid for the specific service giving rise to the claim in the twelve months before the claim, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Lucid, its officers, employees, and agents from claims, damages, or expenses arising from your misuse of our services, violation of these Terms, or infringement of others’ rights.

13. Governing Law

These Terms are governed by the laws of the State of Colorado and applicable U.S. federal law. Any disputes will be resolved exclusively in the state or federal courts of Colorado.

14. Force Majeure

Lucid is not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, labor disputes, vendor shortages, cyberattacks, or government actions.

15. Electronic Communications and Consent

By using our services, you agree to receive notices and disclosures electronically. Electronic signatures have the same legal effect as handwritten signatures.

16. Updates to These Terms

We may update these Terms from time to time. The effective date above reflects the latest version. Continued use of our services after changes means you accept the updated Terms.

17. Assignment and Survival

You may not assign your rights under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale. If any provision is found invalid, the remainder remains in effect. Provisions related to intellectual property, disclaimers, liability limits, indemnity, and governing law will survive termination.
